Terms of Service - Scope Catch

These Terms of Service ("Terms") govern your use of the Scope Catch application ("Service") operated by Scope Catch ("Company," "we," "our," or "us").

By using Scope Catch, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By installing, accessing, or using Scope Catch, you:

Agree to these Terms
Agree to our Privacy Policy
Represent that you are at least 18 years old
Have the authority to bind your organization (if applicable)

2. Description of Service

Scope Catch is a Slack application that:

Monitors messages in channels where invited
Detects potential scope creep using AI
Sends alerts when out-of-scope work is requested
Generates Change Request Forms (CRFs)
Tracks project scope and budget

Service is provided "as-is" and may be updated, modified, or discontinued at any time.

3. Account Registration

3.1 Slack Integration

To use Scope Catch, you must:

Have an active Slack workspace
Be authorized to install apps in your workspace
Grant required permissions (channels:history, chat:write, etc.)

3.2 Account Security

You are responsible for:

Maintaining the security of your Slack workspace
All activity that occurs under your account
Notifying us immediately of unauthorized use

4. Subscription Plans & Pricing

4.1 Free Tier

Included:

1 project
50 detections per month
All core features

Limitations:

Resets monthly (1st of each month)
Cannot exceed limits
No refunds or credits

4.2 Pro Tier

Price: $199/month (USD)

Included:

Unlimited projects
Unlimited detections
Advanced analytics
Priority support (24-hour response)

Billing:

Charged monthly via Stripe
Auto-renews unless cancelled
Prices subject to change with 30 days notice

4.3 Payment Terms

Payment Method: Credit card via Stripe
Billing Cycle: Monthly (from date of upgrade)
Failed Payments: 3 retry attempts over 7 days, then downgrade to Free tier
Taxes: You are responsible for all applicable taxes

4.4 Refunds

No refunds for:

Partial months
Voluntary cancellations
Unused features
Violations of these Terms

Refunds considered for:

Billing errors (contact support@scopecatch.com within 30 days)
Service outages (>72 hours continuous downtime)

5. Cancellation & Termination

5.1 Cancellation by You

You can cancel anytime:

Go to https://app.scopecatch.com/billing
Click "Cancel Subscription"

Pro access continues until end of billing period, then auto-downgrade to Free tier.

Effect of Cancellation:

No further charges
Data retained (not deleted)
Can reactivate anytime

5.2 Termination by Us

We may suspend or terminate your account if:

You violate these Terms
You engage in fraudulent activity
Your payment fails repeatedly
Required by law

Notice: We will provide 7 days notice before termination (except for violations).

5.3 Effect of Termination

Upon termination:

Access to Service immediately revoked
Data retained for 30 days (then deleted)
Outstanding balances remain due
Sections 6, 7, 8, 9, 10 survive termination

6. Acceptable Use Policy

6.1 Permitted Uses

You may use Scope Catch to:

Detect scope creep in your client projects
Generate Change Request Forms
Track project scope and budgets
Analyze scope creep patterns

6.2 Prohibited Uses

You may NOT:

❌ Use for illegal purposes
❌ Violate any laws or regulations
❌ Harass, abuse, or harm others
❌ Impersonate others or misrepresent affiliation
❌ Interfere with or disrupt the Service
❌ Attempt to hack, reverse engineer, or access unauthorized areas
❌ Share your account with others
❌ Resell or sublicense the Service
❌ Use for competitive analysis or to build a competing product
❌ Send spam or unsolicited messages via the Service
❌ Violate intellectual property rights
❌ Upload malware, viruses, or malicious code

Violation of this policy may result in immediate termination without refund.

7. Intellectual Property

7.1 Our IP

Scope Catch, including:

Software, algorithms, AI models
Design, UI, branding, trademarks
Documentation, content
Logos, graphics

...are owned by us and protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose only.

7.2 Your IP

You retain all rights to your data:

Project definitions
Scope descriptions
Messages (you own the content)
Feedback data

By using Scope Catch, you grant us a license to:

Process your data to provide the Service
Use anonymized, aggregated data for analytics
Display your content within the Service

We do NOT claim ownership of your data.

7.3 Feedback

If you provide feedback, suggestions, or ideas:

We may use them without compensation
You grant us a perpetual, worldwide license to implement feedback
We are not obligated to implement any feedback

8. Disclaimers & Limitations of Liability

8.1 Service Provided "As-Is"

THE SERVICE IS PROVIDED "AS-IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim all warranties, including:

Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy, reliability, or completeness
Uninterrupted or error-free operation

8.2 No Guarantee of Accuracy

Scope Catch uses AI, which may produce errors:

False positives (flagging in-scope work)
False negatives (missing scope creep)
Incorrect cost estimates

You are solely responsible for:

Verifying all detections
Making final decisions about scope
Client communications

We are NOT responsible for:

Missed scope creep
Client disputes
Financial losses
Relationship damage

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE ARE NOT LIABLE FOR ANY:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Damages arising from use or inability to use the Service
Damages caused by errors, bugs, or service interruptions

OUR TOTAL LIABILITY IS LIMITED TO:

Amount you paid us in the 12 months before the claim
OR $100 (whichever is greater)

9. Indemnification

You agree to indemnify, defend, and hold harmless Scope Catch, its officers, directors, employees, and agents from:

Claims arising from your use of the Service
Violations of these Terms
Violations of any law or third-party rights
Content you submit or share via the Service

We will notify you of any such claims and cooperate in defense.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

10.2 Informal Resolution

Before filing a claim, you agree to contact us at support@scopecatch.com to attempt informal resolution.

10.3 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Scope Catch.

11.2 Modifications

We may update these Terms at any time. Changes will be posted at scopecatch.com/terms with a new "Last Updated" date.

Material changes: Email notification 30 days in advance
Your continued use after changes constitutes acceptance

11.3 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in effect.

11.4 No Waiver

Our failure to enforce any right does not waive that right.

11.5 Assignment

You may not assign these Terms without our consent. We may assign these Terms to any successor entity.

11.6 Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, pandemics, wars, government actions, etc.).
